Group Company Secretary
One of our clients is currently looking for a Group Company Secretary to join their professional team within a group of associated companies.
Responsibilities & Duties:
- Organise board meetings, as requested by Board of Directors, publish agenda and relevant documentation
- Attend all board meetings and any committee meetings as requested by management, taking minutes and preparing minutes for follow-up and action
- Draft resolutions, memorandum and articles of association and relevant amendments, including any other legal compliance documentation, submitting to authorities as requested
- Ensure that all associated companies comply with the Companies Act
- Liaise with third parties including Registrar of Companies, banks, auditors and external professional advisors as needed
- Raising matters, legal or otherwise, which may warrant the attention of the directors
- Reporting to and work closely with the company’s senior directors
- Any other ad-hoc duties needed to assist the Executive team of the holding company
Requirements:
- A graduate as a lawyer, accountant or in possession of an equivalent University degree
- A minimum of 3 years’ experience in a similar position
- Excellent writing skills and communication skills in Maltese and English
- Strong organisational skills with an eye for detail
- Loyal, trustworthy, reliable and able to work under pressure efficiently
- Able to observe a high degree of confidentiality at all times
- Able to travel to attend board meetings held overseas, when these cannot be held remotely
